Please read these Terms and Conditions (“Terms”, “Agreement”) carefully before using the website located at https://apipietech.com (the “Website”, “Service”) operated by APIPIE TECH SDN. BHD. (Company Registration No. 202201020560 / 1466257-D), a company incorporated in Malaysia with its registered office at 18, Sunway Montana, Desa Melawati 53100, Kuala Lumpur, Malaysia (hereinafter referred to as “APIPIESHOP”, “Company”, “we”, “us”, or “our”).

By accessing, browsing, registering an account, placing an order, or otherwise using our Website or any of the services offered through it, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Refund Policy, which are incorporated herein by reference. If you do not agree with any part of these Terms, you must not use our Website or Services.

1. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set out below:

“Customer”, “User”, “you”, “your”: any individual or legal entity that accesses the Website, creates an account, or purchases any Service from APIPIESHOP.
“Services”: any and all products, subscriptions, digital services, technical services, consulting services, or goods offered by APIPIESHOP, including but not limited to independent e-commerce website development, social media account setup, cross-border live-streaming network services, livestream promotion services, audience engagement services, APIPIE Payments, local telecommunications services, product sourcing, logistics coordination, and APIPIE membership programs.
“Order”: a confirmed purchase of one or more Services placed through the Website.
“Content”: any text, graphics, images, software, audio, video, information, or other material displayed on, generated through, or transmitted via the Website.
“Account”: the registered user profile you create on the Website to purchase and manage Services.

2. Eligibility & Account Registration

To use our Services, you must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is higher. By registering an Account, you represent and warrant that you meet this age requirement and, where you register on behalf of a business entity, that you have the full legal authority to bind that entity to these Terms.

When creating an Account, you agree to (a) provide true, accurate, current, and complete information; (b) maintain and promptly update that information to keep it accurate; (c) safeguard your Account credentials; and (d) accept full responsibility for all activities occurring under your Account. You must notify us immediately at apipie.co@apipietech.com of any unauthorized access, use, or security breach involving your Account.

We reserve the right to suspend, restrict, or terminate any Account at our sole discretion, with or without prior notice, if we reasonably believe the Account has been used in violation of these Terms or in a manner that poses risk to other users, our Services, or our business.

3. Services & Scope of Supply

APIPIESHOP offers a range of digital and cross-border e-commerce services. The specific scope, deliverables, timelines, technical specifications, and limitations of each Service are described on the relevant product page on the Website and, where applicable, in a separate service agreement, statement of work, or quotation issued to the Customer.

Unless otherwise expressly stated in writing, the Services are provided on a “best-effort” professional basis. We do not guarantee any specific commercial outcome, sales volume, traffic level, conversion rate, search ranking, audience growth, live-streaming viewership, payment approval rate, or other performance metric resulting from the use of our Services. Such outcomes depend on many factors outside our reasonable control, including but not limited to third-party platform policies, your product quality, your pricing, your own marketing efforts, and prevailing market conditions.

Certain Services rely on third-party platforms, networks, or providers (for example, social media platforms, payment acquirers, telecommunications carriers, logistics partners, and content delivery networks). Such third parties may, at any time and without notice, change their policies, pricing, availability, technical requirements, or service quality. APIPIESHOP shall not be liable for any adverse impact caused by such third-party changes, but will use commercially reasonable efforts to adapt the affected Services or offer alternatives where feasible.

4. Orders, Pricing, Currency & Taxes

All prices displayed on the Website are quoted in Malaysian Ringgit (RM / MYR) unless clearly indicated otherwise. Prices are subject to change at any time without prior notice; however, once an Order has been placed and confirmed, the price applicable at the time of confirmation will be honored for that specific Order.

Unless stated otherwise on the relevant product page, prices are exclusive of Malaysian Sales and Service Tax (SST), Goods and Services Tax, Value Added Tax, withholding tax, import duties, or any other tax, levy, customs fee, or government charge that may be imposed in your jurisdiction. You are solely responsible for identifying, declaring, and paying any applicable taxes and duties related to your purchase and use of our Services.

An Order is considered confirmed only after (a) we have received full payment (or the agreed deposit for staged projects) and (b) we have issued a written order confirmation to the email address associated with your Account. Placing an item in your shopping cart, submitting an enquiry, or even completing a checkout page does not, by itself, create a binding contract — confirmation from us is required.

We reserve the right to refuse or cancel any Order at our sole discretion, including in cases of (a) suspected fraud; (b) obvious pricing or descriptive errors on the Website; (c) unavailability of the Service; (d) failure to meet eligibility requirements; or (e) breach of these Terms. Where we cancel a confirmed Order for reasons not caused by the Customer, we will refund the amount paid using the original payment method.

5. Payment Terms

Payment for Services is due at the time of Order placement unless a written agreement provides otherwise. We accept the payment methods displayed at checkout, which may include credit and debit cards, bank transfers, e-wallets, and other local payment instruments. All payment processing is handled via secure, PCI-compliant gateways; we do not store full card numbers on our servers.

If a payment is declined, reversed, charged back, or otherwise fails after delivery of a Service has begun, we reserve the right to suspend or terminate the affected Services until the matter is resolved. You agree to pay all reasonable costs we incur in recovering unpaid amounts, including but not limited to bank fees, legal costs, and administrative expenses.

For subscription-based or recurring Services (such as APIPIE membership or recurring network access plans), you authorize us to charge the payment method on file on each billing cycle until the subscription is cancelled in accordance with these Terms.

6. Service Delivery & Timelines

Estimated delivery times for each Service are stated on the relevant product page or in the Order confirmation. These timelines are indicative only and begin only once (a) payment has been received in full (or the agreed deposit has cleared) and (b) all information, credentials, assets, and approvals required from the Customer to commence work have been provided.

Delays caused by insufficient, inaccurate, or late-delivered Customer materials; by third-party platform approvals; by regulatory or compliance review periods; or by force majeure events shall not constitute a breach by APIPIESHOP and may result in an adjusted delivery schedule. We will communicate any material delays as soon as reasonably possible.

7. Customer Obligations

To enable us to deliver the Services properly, you agree to:

Provide complete, accurate, and lawful information, content, product descriptions, images, credentials, and any other materials we reasonably require.
Respond to our requests for approvals, feedback, or clarifications within a reasonable timeframe.
Ensure that you own or have secured all necessary rights, licenses, and permissions to the content and intellectual property you submit to us.
Comply with the terms of service and community guidelines of any third-party platform connected to or used in conjunction with our Services (for example, social media platforms, payment acquirers, app stores).
Not use our Services to sell, promote, advertise, or distribute any product or content that is illegal in your jurisdiction or in the destination markets, including but not limited to counterfeit goods, infringing goods, hazardous materials, prohibited pharmaceuticals, adult content without proper age-verification infrastructure, firearms, or any content that incites hatred, violence, or discrimination.
Comply with all applicable laws, regulations, industry standards, tax obligations, and import/export controls.

8. Prohibited Uses

In addition to the obligations above, you agree not to:

Use the Website or Services in any way that violates any applicable local, national, or international law or regulation.
Attempt to interfere with, probe, scan, or test the vulnerability of our systems or network, except with our express prior written authorization.
Transmit, upload, or distribute any virus, worm, malware, or other harmful code.
Use automated means (bots, scrapers, crawlers) to access, copy, or harvest data from the Website without our prior written consent.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Engage in any activity that could disable, overburden, or impair our infrastructure.

9. Intellectual Property Rights

All intellectual property rights in and to the Website, the APIPIESHOP and APIPIE PAYMENTS brands, logos, trademarks, trade dress, service marks, software, source code, platform architecture, documentation, graphics, and proprietary content are owned by APIPIE TECH SDN. BHD. or our licensors, and are protected by Malaysian and international copyright, trademark, and other intellectual property laws.

Subject to your full compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and the Services for your internal business purposes. This license does not permit you to copy, modify, reverse-engineer, decompile, distribute, sublicense, or create derivative works of any part of the Website or Services, except as expressly permitted by applicable law.

You retain ownership of the content and materials you submit to us (your “Customer Content”). By submitting Customer Content, you grant APIPIESHOP a worldwide, royalty-free, non-exclusive license to host, store, process, reproduce, display, and transmit that Customer Content solely to the extent necessary to provide the Services and to comply with legal obligations.

Where deliverables are produced specifically for you as part of an ordered Service (for example, a custom-built independent website, original copywriting, or designed creative assets), ownership of such deliverables transfers to you upon receipt of full payment, except for (a) APIPIESHOP pre-existing tools, frameworks, and components, and (b) third-party licensed materials, which remain the property of their respective owners.

10. Third-Party Platforms & Services

Our Services may integrate with, rely upon, or enable access to third-party platforms, services, APIs, or networks. Your use of any such third-party service is governed by the terms and policies of that third party. APIPIESHOP is not responsible for the availability, accuracy, content, products, or services of any third party, nor for any damage, loss, or issue arising from your use of such third-party services.

We recommend that you carefully read the terms of service, acceptable use policies, and privacy policies of any third-party platform you connect to our Services.

11. Disclaimers & Limitation of Liability

EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

WITHOUT LIMITING THE FOREGOING, APIPIESHOP DOES NOT WARRANT THAT THE SERVICES WILL MEET ANY SPECIFIC COMMERCIAL OR TECHNICAL OBJECTIVE; THAT OPERATION OF THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVERS, NETWORKS, OR INFRASTRUCTURE WE USE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL APIPIE TECH SDN. BHD., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR THE SERVICES — WHETHER IN CONTRACT, TORT, NEGLIGENCE, STATUTORY LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO APIPIESHOP FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms shall limit or exclude any liability that cannot lawfully be limited or excluded under the applicable law of Malaysia.

12. Indemnification

You agree to defend, indemnify, and hold harmless APIPIE TECH SDN. BHD., its affiliates, directors, officers, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Website or Services; (b) your breach of these Terms or of any applicable law; (c) your Customer Content or any content you cause to be published through the Services; (d) your infringement of any third-party right, including intellectual property, privacy, or publicity rights; or (e) any dispute between you and a third party (including your own customers) arising from your business activities.

13. Suspension & Termination

We may suspend or terminate your access to the Website or any Service, in whole or in part, immediately and without prior notice, if: (a) you materially breach these Terms; (b) we are required to do so by law, court order, or competent regulatory authority; (c) your activity poses a security or reputational risk to APIPIESHOP, our users, or third parties; or (d) continuing to provide the Service becomes commercially or technically impractical.

You may terminate your Account at any time by contacting us at apipie.co@apipietech.com. Termination does not relieve you of any outstanding payment obligations. Provisions of these Terms that by their nature should survive termination — including those relating to intellectual property, confidentiality, disclaimers, indemnification, and limitation of liability — shall continue to apply after termination.

14. Force Majeure

APIPIESHOP shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, wars, terrorism, civil disturbances, strikes, labor disputes, changes in law or regulation, government actions, cyber-attacks, internet or telecommunications failures, utility outages, or disruptions in the services of third-party platforms, carriers, or payment processors.

15. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our Services, applicable laws, or business practices. The “Last updated” date at the top of this document indicates when these Terms were last revised. Material changes will be communicated via a notice on the Website or by email to registered Customers. Your continued use of the Website or Services after such changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Website and Services.

16. Governing Law & Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict-of-laws rules.

The parties shall first attempt in good faith to resolve any dispute through amicable negotiation. If the dispute cannot be resolved within thirty (30) days from the date one party notifies the other in writing of the dispute, the parties agree to submit the matter to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia, unless mandatory applicable law requires otherwise.

17. Severability & Waiver

If any provision of these Terms is held by a competent court or tribunal to be invalid, illegal, or unenforceable, that provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

18. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and any specific service agreement or quotation we issue to you, constitute the entire agreement between you and APIPIESHOP regarding your use of the Website and the Services, and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
